  2.                ESCROW AGREEMENT-- BULK SALES

  7. Under the terms and conditions of a contract between ____________,
  8.  referred to as SELLER, and Paul Abdullah, referred as BUYER, for
  9. the bulk  sale of a certain business known as ________________
  10. __________, the parties herewith  agree to the following escrow
  11. instructions: 
  12.  
  13. A total of $ _________ ( ____________________ &___/100 dollars)
  14. will be deposited. 
  15.  
  16. The Fund shall be invested from time to time in an interest 
  17. bearing account with a national bank that is insured by the 
  18. F.D.I.C.; provided, however, that in the event that the deposit 
  19. at any time exceeds $100,000, the deposit shall be made with a 
  20. bank with capital and surplus of at least $100,000,000.

  22. If, prior to termination of the escrow, BUYER, notifies of any 
  23. breach of warranty with respect to the indebtedness of Seller to 
  24. its creditors under the terms and provisions of the bulk sale and 
  25. such notice shall specify the amount which Buyer shall claim is 
  26. due and owing to Buyer by virtue of such breach of claim of 
  27. breach, you shall, within ten days from and after the receipt of 
  28. such notice from Buyer, notify Seller in writing of such claim by 
  29. sending written notice thereof by registered mail, return receipt 
  30. requested, to Buyer at the following address:

  32. In the event that such notice is received you shall withhold the 
  33. sum claimed, unless the SELLER delivers a sworn acquittance of 
  34. such debt from the claimant, or, a written statement from the 
  35. BUYER withdrawing the objection. 
  36.  
  37. On or about ____________ you shall distribute the remaining sum
  38. other  than the sums directed to be withheld, as follows: 
  39.  
  40. First priority-- Expenses of the ESCROW AGENT; 
  41.  
  42. Second priority-- Such sums, if any, required to be withheld 
  43. under the terms and conditions state herein; 
  44.  
  45. Third priority-- _______
  46.  
  47. You may resign by mailing written notice thereof to Buyer and to 
  48. Seller at the addresses stated above. In the event of any such 
  49. resignation, Buyer may appoint (by written notice delivered to 
  50. Seller at the above specified address) a successor escrow which 
  51. shall be a national bank. Any successor or successors shall have 
  52. all of the rights, obligations and immunities granted to you by 
  53. the terms and provisions hereof.

  55. Nothing herein contained shall constitute a limitation of any 
  56. obligations of either Buyer or Seller under the Agreement 
  57. otherwise. 
  58.  
  59. This is the entire agreement between the parties and this 
  60. agreement may only be amended by a written agreement between the 
  61. parties.

  63. In the event that any controversy arises as to the distribution 
  64. of the escrow, the ESCROW agent may interplead the sums in any 
  65. court with jurisdiction and all costs of fees thereof reasonably 
  66. incurred by escrow agent shall be payable from the fund.
